Corporate Law

The main forte of the Firm. Formation, Governance, Transactions, Compliance and Secretarial Services across the whole corporate lifecycle.

Corporate law is the main forte of the Firm. From helping our clients safeguard their corporate assets to ensuring regulatory compliance, and from structuring strategic deals to promoting their business growth, we act as a one-stop solution for our clients' corporate needs.

We guide clients through every phase of their lifecycle: initial formation, post-incorporation requirements, annual and periodic compliances, core business-related legal issues and, where necessary, the ultimate dissolution.

What we do

01

Setting up & Structuring

  • Entity Formation & Structuring: helping founders select and establish the most legally and financially advantageous business structure, whether a registered company, limited liability partnership, traditional partnership, sole proprietorship, not-for-profit entity or a trust.
  • Corporate Governance: drafting essential internal documents such as the Memorandum and Articles of Association, Shareholders Agreements, Partnership Deeds, bylaws, charters and Trust Deeds, and advising directors and executives on their fiduciary duties and legal responsibilities.
02

Operational & Transactional Work

  • Commercial Contracts: reviewing, drafting and negotiating legally binding agreements, including vendor contracts, service agreements, non-disclosure agreements and commercial leases.
  • Mergers & Acquisitions: conducting intensive due diligence, structuring deals and managing the legal complexities when a company wants to buy, merge with or sell to another business.
  • Corporate Finance & Securities: guiding companies through capital-raising, whether through private equity, venture capital or an Initial Public Offering, while maintaining compliance with securities regulators.
03

Regulatory & Compliance

  • Company law compliance and filings: advising on Annual and Extraordinary General Meetings and board meetings, officers' duties and rights, and the filing of annual and other returns.
  • Employment & Labour Law: creating compliant workplace policies, drafting executive employment contracts, managing employee classification and advising on workplace disputes.
  • Intellectual Property protection: safeguarding intangible business assets by filing and protecting trademarks, patents and copyrights, and handling licensing agreements.
  • Data Privacy & Cybersecurity: ensuring the business complies with evolving digital data laws and assisting in the event of a data security breach.
04

Risk Management & Dispute Resolution

  • Commercial Dispute Resolution & Litigation: representing the company's interests in breach-of-contract suits, shareholder gridlocks or founder disputes, through alternative dispute resolution or courtroom litigation.
  • Insolvency & Bankruptcy: helping financially distressed companies restructure their debt, navigate reorganisation procedures or manage formal liquidation.
05

Branch & Liaison Offices

  • Registering local offices with the Board of Investment.
  • Ensuring annual compliances and filings for these offices.
  • Renewal of licences and permits, and related actions.
06

Not-for-Profit Organisations

  • Setting up entities such as section 42 companies, charitable trusts, societies and welfare organisations.
  • Assisting with annual compliances and filings.
  • Advising on a multitude of legal issues, including employment and third-party matters.
07

Directorship & Secretarial Services

We act as directors of various private and public listed companies. The Firm routinely provides secretarial services to several foreign entities with local subsidiaries, including drafting meeting notices and minutes, advising on corporate actions and ensuring that statutory filings are made on time.
